01Subject matter and acceptance
These terms govern the access and use of the website of COMATEX Textile Machinery Srl ("Comatex"), the online catalogue, the machine list and comparison, the request for quote and the B2B reserved area. By browsing the site you accept these conditions; if you do not accept them, do not use the site.
02Permitted use of the site
The site is intended for a professional audience (B2B operators). It is prohibited to:
- systematically extract content, technical sheets or images using automated tools, scraping or data mining;
- attempt unauthorised access to the reserved area or interfere with the security and availability of the service;
- enter false data, third-party data without entitlement, or illegal, offensive or rights-infringing content into forms;
- use Comatex trademarks, logos or content without written authorisation.
03Quote requests: non-binding nature
The online catalogue does not constitute an offer to the public pursuant to art. 1336 of the Italian Civil Code. The machines are industrial goods configured to specification: online purchase is not possible and prices are not published.
Sending a request for a quote is a non-binding expression of interest for both parties: it does not generate an order nor a supply obligation. The relationship begins only with the written acceptance of the Comatex offer and the relative order confirmation.
In this version of the site, requests are processed and stored in your browser for demonstration purposes; for actual commercial contact, use the references on the page contatti.
04B2B reserved area
Access to the reserved area is personal and non-transferable. You are responsible for safeguarding your credentials and for the activities carried out with them. Comatex may suspend access in the event of abnormal use, violation of these terms or at the user's request.
05Technical specifications and availability
Dimensional data, working widths, productivity, equipment and images published are indicative and refer to standard configurations. Comatex may modify range, components and features without notice for technical reasons or product improvement. Only the specifications stated in the accepted offer shall prevail.
06General terms and conditions of supply
Unless otherwise agreed in writing, Comatex supplies are subject to the following reference conditions, as detailed in the quotation:
- Delivery (Incoterms): according to the Incoterms® rule specified in the quotation (usually EXW Ghisalba, Italy).
- Packaging, transport and insurance: quoted separately in the offer.
- Payments: according to the terms and guarantees specified in the quotation; delays shall incur late payment interest pursuant to Legislative Decree 231/2002.
- Delivery times: indicative and running from receipt of the down payment and all necessary technical data.
- Installation, commissioning and training: subject to a dedicated quotation.
- Retention of title: the machine remains the property of Comatex until full payment is received.
- Customs formalities, duties and taxes in the country of destination are the responsibility of the customer.
07Warranty and technical support
Machines are covered by the contractual warranty specified in the quotation, relating to material and construction defects, excluding wear parts and damage caused by improper use, lack of maintenance, unauthorised modifications, non-original spare parts, or non-compliant electrical or pneumatic supplies. As these are B2B relationships between professionals, the warranties provided by the Consumer Code for consumer purchases do not apply.
08Export compliance and sanctions
The customer undertakes to comply with applicable regulations regarding export controls, embargoes and restrictive measures of the European Union, the United Nations and the United States, and not to re-export machines, spare parts or technical documentation in violation of such rules. Comatex may refuse or suspend a supply when prevented by sanctions or licensing constraints.
09Limitation of liability
The site is provided "as is": Comatex does not guarantee continuity of service or the absence of errors in the content and, to the extent permitted by law, is not liable for indirect damages, loss of production, profit or data resulting from the use of the site or reliance on indicative information. Liability for wilful misconduct, gross negligence and cases required by law remains unaffected, as does contractual liability governed by the accepted quotation.
10Intellectual property
Trademarks, names, drawings, photographs, texts, videos and technical data sheets are the property of Comatex or their respective owners. Any unauthorised reproduction, distribution or use is prohibited. Technical documentation delivered to the customer remains confidential and may not be disclosed to third parties.
11Privacy and cookies
The processing of personal data is described in the privacy policy and in the cookie policy, which form an integral part of these terms.
12Applicable law and jurisdiction
These terms and supply relationships are governed by Italian law, excluding conflict of law rules. For international sales of goods, the 1980 Vienna Convention (CISG) applies where compatible. The Court of Bergamo (Italy) shall have exclusive jurisdiction over any dispute, unless otherwise agreed in writing or by an arbitration clause included in the supply contract.
13Amendments to terms
Comatex may update these terms at any time by publishing the new version on this page, indicating the update date. Contacts: comatex@comatex.net — Via Ciurlina, 75 — 24050 Ghisalba (BG) — Italy.
